May 2020 Update:
In May 2020, Fusion Farms welcomed our revamped and updated website and Online Farm Store to the world! Now, our customers can order our produce online for safe curbside pick-up.
On May 13, we signed a Memorandum Of Understanding with the National Renewable Energy Labs, which is transforming energy through research, development, commercialization, and deployment of renewable energy and energy efficiency technologies.
April 2020 Update:
Fusion Farms remains open for business as an “essential” food provider and so we continue to serve our community with delicious fresh microgreens and handcrafted salads. We have had a windfall of individual customers who have pushed us into fulfilling pre-orders on a weekly basis, which has increased our customer list to over 200. We also continue to serve our restaurant clients, many of whom have adapted their services to “take out” and “to go” options. We are still taking pre-orders via email, text, and WhatsApp and we have been 100% sold-out for the last month. So, while it seems counter-intuitive, we actually find ourselves busier than ever during the COVID-19 pandemic.
We also made great progress on readying our pilot facility by completing the trench drain construction throughout the warehouse.
March 2020 Update:
As we closely monitor the evolving health situation, Fusion Farms is committed to following the facts and recommendations provided by the CDC and public health officials. Our priority is to ensure that we uphold the highest standards of hygiene and sanitation to protect our employees, customers, contractors, and community. Not only are we Food Safety Certified, but we have also increased our diligence to meet and exceed what the health professionals are recommending in terms of health and safety.
On March 11, 2020, we signed a Letter of Intent with Caribbean Produce, the second largest distributor in Puerto Rico, to purchase 30,000 pounds of leafy green produce per month in the first year of operation and 35,000 pounds per month in the second year.
On March 26, 2020, we submitted a Strategic Partnership Proposal to the mayor of Canóvanas, a municipality in the northeastern region of Puerto Rico that forms a part of the San Juan-Caguas-Guaynabo Metropolitan Statistical Area. We have identified Canóvanas as the potential home of our second hurricane protected aquaponics facility. Conveniently located in the area is the HQ distribution facility for ECONO, the largest grocery store chain on the island. We have also identified a third location in Fajardo in eastern Puerto Rico, which has a high concentration of tourist resorts, hotels, restaurants, and bars that require the kind of quality, fresh produce Fusion Farms grows. We are raising $12 million to acquire and renovate these two new facilities, which we aim to bring online in 2021.
February 2020 Update:
On February 7, 2020, Fusion Farms brought to a close Phase II ($350k) of our REG C Online Public Offering with a total tally of $500,000 from 178 investors in 35 U.S. states and 19 countries around the world.
With the COVID-19 pandemic hitting the world hard, we adjusted our business plan and safety operational procedures to accommodate for lockdown 2020 and, in the ensuing period, actually experienced a significant surge in demand for our fresh produce, which we safely delivered to our customers, curbside.
January 2020 Update:
On January 28, 2020, Fusion Farms signed a Solar Grant Contract with PRIDCO, wherein Fusion Farms was awarded a grant in the amount of $250,000 to go towards the costs of installing a solar power system at the farm.
November 2019 Update:
On November 26, 2019, we met with the plant genetics operator from Israel to negotiate a partnership to use CRISPR to develop patentable seed varieties specific to Puerto Rico’s (Caribbean) climate. We also met with Jose Santiago, Inc., the oldest and largest food service distributor in Puerto Rico to discuss distributing Fusion Farms produce island-wide.
On November 19, 2019, Fusion Farms received designation as Certified Aquaponics Designer from the Aquaponics Institute (www.aquaponicsinstitute.org), a leader, educator, and investor in the realm of everything aquaponics.
On November 15, 2019, we completed the first ever sales of our Living MicroGreens products and we are now serving a total of 42 restaurants in Mayagüez and Rincón, as well as a distributor and two grocery stores. Here is what that fantastic customer base looks like:
On November 6, 2019, we completed the construction of Phase I, the hydroponics portion of our hurricane protected, indoor farm and commenced growing our living microgreens.
On November 5, 2019, we signed a Memorandum of Understanding (MOU) with the University of Arizona. The purpose of this MOU is to discuss how to develop and expand a framework of cooperation between Fusion Farms and the Controlled Environment Agricultural Center (UA-CEAC) of ARIZONA, to develop mutually beneficial programs, projects and activities, related to collaborative research possibilities and educational internship programs, including but not limited to: (1) research projects on evaluating system designs for air distribution and conditioning for optimal environmental uniformity, and (2) nutrient requirements, gaps, and balances for aquaponics systems.
October 2019 Update:
On October 9, 2019, we obtained our R&D Hemp License and formed a wholly owned subsidiary called Fusion Farmaceuticals, which will focus on “food-as-medicine” products. We are raising $6 million for this new subsidiary and have our business plan, Reg D Offering, and associated subscription agreement available for review.
September 2019 Update:
On September 17, 2019, Fusion Farms obtained our Certificación Bonafida de Agricultura from the Secretary of Agriculture, which certifies us as a “Bonafide Farmer”, an entity that is engaged in a qualified agricultural business activity and which qualifies for special agricultural incentives.
July 2019 Update:
On July 29, 2019, Fusion Farms completed our Environmental Phase I Report. This was required in order for us to qualify for a “Categorical Exclusion” and to be issued our Permiso Unico or Use Permit for the building without a more extensive Environmental Impact Report.
On July 3, 2019, Fusion Farms brought to a close Phase I ($150k) of our REG C Online Public Offering with a total tally of 152 investors in 33 U.S. states and 17 countries around the world.
June 2019 Update:
On June 7, 2019, we signed the lease agreement with PRIDCO and took building possession of our pilot facility in Mayagüez.
April 2019 Update:
On April 17, 2019, we obtained FSMA (Food Safety Modernization Act) PSA Certification, which provides rigorous training in food safety and its requirements and preventative controls.
March 2019 Update:
On March 22, we received Oriental Bank power supply acceptance and a conditional commitment letter and on the 29th, we qualified for our Rural Energy USDA Grant Application at an 80% federal loan guarantee, a huge milestone!
January 2019 Update:
In January 2019, we were approved and registered with the SEC as a REG C Online Public Offering! We also obtained a Dunn & Bradstreet D-U-N-S Number, a unique nine-digit identifier for our business and applied for our Certificación Bonafida de Agricultura. Finally, we signed Dr. Shane Burgess from the University of Arizona to the Board of Fusion Farms, a great asset to our team.
December 2019 Update:
In December 2019, we completed SAM.gov (System for Award Management) registration, which qualified us to apply for various USDA programs and grants, including the Rural Energy for America Program (REAP), Value Added Producer Grants (VAPG), and Commercial Loan Guarantees by the USDA.
Fusion Farms qualified as an Exporter under Act 22, which means that 20% of our export transportation costs can be reimbursed, as well as up to 50% of our marketing costs, up to a total of $50,000. We can also get reimbursed for up to 90% of employee training costs under the Workforce Innovation and Opportunity Act (WIOA). Additionally, we are given incentives for job creation, starting at $300 and up to $1,300 per job, among other highly desirable incentives.
November 2018 Update:
We obtained our Certificado de Registro de Comerciante (Merchant Registration Certificate), which is the authorization granted by the Treasury Department for doing business in Puerto Rico and authorizes the sale of taxable items, including goods and services, subject to the SUT.
October 2018 Update:
In October 2018, we received PRIDCO approval for our hurricane-protected concrete building in Mayagüez, Puerto Rico. This huge milestone is also accompanied by the even bigger benefit of our business receiving qualification as an Agricultural Producer for Act 225 and Act 73, which means that we only operate at a 4% tax rate and are 90% exempt on real property tax and 60% exempt on income tax for a 15-year period. Additionally, a PRIDCO Administrative Order qualified our business for a reduced lease rate on the building.
This month, we also secured partnership with University of Puerto Rico’s (UPR) Agricultural Department.
