Invest in Fusion Farms Puerto Rico # 1:
There is enormous demand for what we’re offering
Fusion Farms is one of the first organizations to step forward and propose a permanent solution to Puerto Rico’s food crisis. Through our hurricane-protected controlled environment aquaponics farms, we have established a reliable source of fresh, non-GMO, and 100% pesticide-free leafy greens, vegetables, fruits, and protein for the island’s people and, in time, for other nations in a similar situation. There is an undeniable need and demand for the products Fusion Farms is producing and with that demand comes the revenue that is necessary to build, expand, and become immensely profitable, while still doing so much good for the local community. This is the investment opportunity we bring to our investors.

We’ve designed a scalable, repeatable, and highly profitable plan
Fusion Farms has relationships with leading food distributors throughout Puerto Rico, a wealth of which are incredibly excited about the opportunity we are creating on the island. We have sold our produce to 42 restaurant clients, 3 grocery store chains and 2 distributors. We have substantiated market pricing (retail and wholesale), as well as market demand through these customers, who have confirmed the high market demand for our agricultural products from their customers. Our CEA facility has the production capacity to generate revenues and resulting profits that show an annual return of approximately 28% annualized ROI.

We are a Qualified Opportunity Zone investment opportunity
An Opportunity Zone is a designation created by the Tax Cuts and Jobs Act of 2017 allowing for certain investments in lower income areas to have tax advantages. Puerto Rico is a Qualified Opportunity Zone, which means that investing in Fusion Farms Puerto Rico yields attractive tax benefits for its investors.
For example: if you have capital gains from the sale of real estate, stocks, bonds, cryptocurrency, or art, etc. you can invest your gains from the sale with Fusion Farms, which is a Qualified Opportunity Zone investment. You only have to reinvest the gains instead of the entire proceeds from the sale of an asset in order to take advantage of the tax benefits. By doing so, you can defer paying capital gains on your original investment (normally 23.8%) for almost a decade.

More tax advantages: we are selling Qualified Small Business stock
Fusion Farms is considered a Qualified Small Business Stock, as defined by the Internal Revenue Code (IRC) Section 1202. This is separate and apart from being a Qualified Opportunity Zone Investment, so the opportunity we’re offering is of special interest to prospective investors, particularly non-corporate taxpayers, who are seeking tax-advantaged investment opportunities.
Section 1202 Explained: Section 1202, also called the Small Business Stock Gains Exclusion, is a portion of the Internal Revenue Code (IRC) that provides for capital gains from select small business stock to be excluded from federal tax. What this essentially does is provide an incentive for non-corporate taxpayers to invest in small businesses.
The capital gains exemption from federal income tax on the sale of small business stock is the underlying purpose of this IRC section. A small business stock held for at least five years before selling will have a portion or all of its realized gains excluded from federal tax.

Ensuring hurricane-protected food sovereignty and security for Puerto Rico
For many countries located in the hurricane belt, food supply is a constant uncertainty. Atlantic Ocean hurricanes not only destroy agricultural lands, equipment, and crops but they can choke off the supply of food from elsewhere, as was the case in Puerto Rico with Hurricane Maria in 2017. Fusion Farms solves this uncertainty with its Controlled Environment Aquaponic farms located inside concrete warehouse buildings, which have survived some of the worst hurricanes on record. With a reliable source of locally grown fresh produce, Fusion Farms address both food security and sovereignty for Puerto Rico, providing communities with a local, reliable source of fresh, healthy, delicious produce and fish, all year round and regardless of the weather!
Invest in Fusion Farms Puerto Rico # 6:
Farm-to-table freshness and low food miles
Did you know that fresh produce in the United States travels an average of 1,500 miles to get to consumers’ plates? And processed food travels 1,300 miles or more? Freight, especially by air and road, consumes large quantities of fuel and energy and releases greenhouse gases, which contribute to global climate change. Add to this the environmental impacts of packaging and processing and the real costs of the weekly shopping basket can be much greater than people think.
Fusion Farms will be growing and distributing food within Puerto Rico and all of our produce will be delivered fresh on the day it is harvested! By eliminating unnecessary transport and processing, we will be helping to reduce the impact of Puerto Rico’s produce on the health of the people, the land, and the global climate.
Invest in Fusion Farms Puerto Rico # 7:
High quality produce grown locally at a low cost is better-tasting, is consistent in quality, and offers greater nutritional value
Puerto Ricans cannot control the farming practices that produce the food that arrives on our shores, which inadvertently supports the usage of pesticides, hormones, and GMO, as well as unfair wages and worker conditions. Additionally, imported foods can also come from countries with inadequate health and hygiene standards, and few regulations to protect from contamination, a particular concern at this time when a viral pandemic ravages the globe.
Over time, fresh produce wilts and deteriorates in quality, losing valuable nutrients as it does and so, by the time imported food reaches Puerto Rico, it is substantially less nutritious, fresh, and tasty. Buying locally grown food puts fresher, more nutritious food – often picked closer to ripening time – on our plates and, in our case, without the use of chemicals or pesticides.
And if you want food that has not travelled from some far-flung location on the globe, has not contributed a thousand-mile-wide carbon footprint, and that supports local growers, processors, and retailers, as well as local economies…go local.
Invest in Fusion Farms Puerto Rico # 8:
High quality, locally grown fish protein – no hormones, no antibiotics
Aquaculture (seafood-farming) can provide a consistent, high-quality, year-round supply of healthy, delicious, and versatile protein. However, many consumers have concerns about farm-raised fish, and for good reason. Poorly managed aquaculture farms have done a lot of damage to the reputation of fresh fish and other marine/freshwater food sources, as well as to the environment. It’s why Fusion Farms decided to do something about it.
Fresh is the only option we offer. We know where all of our farm-raised fish come from and we voluntarily complete third-party verification of a suite of core variables, including water quality, fish food, tank hygiene, chemical usage, and dozens more. All of our farmed fish are responsibly farmed with absolutely NO hormones, NO antibiotics, NO fungicides, and NO pesticides. This is not only in the best interests of the product integrity, health, and flavor but also the health of the environment.
Done right, aquaculture is environmentally friendly and is crucial to supplement the world’s wild-caught seafood supply.

Repurposing vacant buildings, job creation, and helping clean up blighted neighborhoods
On Puerto Rico, there are hundreds of abandoned, government owned (PRIDCO) concrete warehouses, some of which were built in the late 1960’s and early 1970’s. Their sturdy build has ensured their survival, even against the ravages of Category 5 storms. What this spells for the team at Fusion Farms are two things:
(1) The indoor space to establish a greenhouse for growing fresh produce, and
(2) One that is hurricane protected and sheltered from damaging winds and excessive rainfall.
Not even Hurricane Maria could destroy these concrete warehouses and so they are a proven, hurricane-protected venue for indoor farming. Fusion Farms has acquired the first of these PRIDCO buildings.
In addition to repurposing these abandoned buildings, Fusion Farms aims to become a thriving center for the employment, education, and training of the local population. Realizing the incredible experience and value Puerto Rican farmers have to offer, we have made it a core part of our plan to fully utilize this resource by employing local farmers in the aquaponics facility, while also training inexperienced hands.
Invest in Fusion Farms Puerto Rico # 10:
Renewable micro-grid energy for energy autonomyWe are 100% off-grid, using solar panels and battery backup to keep our system running. We can even at times sell energy back to the grid, thereby keeping our energy costs low.
Do well by doing good
Companies that succeed now don’t just do well: they do good. Increasingly, the only way to become successful is to treat your employees, community, environment, and customers as if they matter as much as your profits. Fusion Farm is delivering what the American public wants to see from the private sector; companies whose highest priorities are customers, employees, communities, and environment. Investors are choosing to invest in Fusion Farms because they know we want to do business ethically and we are trying to do the right thing through the employment and education of local employees, the reduction of food miles of Puerto Rico’s fresh produce, food and energy sustainability, and ethics.
Education and training programs
We are also committed to designing educational and training programs for the general population, and to opening our space to schools, tours, and researchers to learn about hurricane-protected, vertical aquaponic farming. We aim to use exposure, education, and training to empower one and all to set up their own aquaponic systems and grow their own food for their family, community, school, church, and/or business. Food security is not something Fusion Farms wishes to monopolize…we want to empower all of Puerto Rico to feed itself!
